Terms of Service
Last updated 15 September 2026
The short version
- These terms are the agreement between you and BBASHI GmbH, the Swiss company that makes Notefix.
- What you and your visitors put into Notefix stays yours. We only use it to run Notefix for you.
- You are responsible for the sites you put Notefix on, and for telling their visitors about it.
- Notefix is new. We work hard to keep it running, but we cannot promise it never fails, so keep your own copy of anything you cannot lose.
- Swiss law applies, and the courts of Chur, except where the law where you live says otherwise.
1. The agreement
These terms apply when you use Notefix Cloud: the dashboard at notefix.app/app, the Notefix tag on websites, and the emails, connections and documentation that come with it (together, Notefix). Notefix is provided by BBASHI GmbH, 7000 Chur, Switzerland, CHE-252.691.441 (we, us).
By creating an account or using Notefix, you agree to these terms. If you use Notefix for a company or other organisation, you agree to them on its behalf, and confirm that you may. Our Privacy Policy explains how we handle personal data, and is part of these terms.
Self-hosted Notefix, which you download and run on your own server, comes with its own licence. These terms do not cover it.
2. Your account
- You need to be at least 16, and to give an email address that is yours.
- You are responsible for what happens under your account. Keep access to your email, and your Google or GitHub account if you sign in with them, safe. Tell us straight away if you think someone else got in.
- One person, one account. Invite your team to a project rather than sharing a sign-in.
3. Projects, members and guests
- The person who creates a project is its owner. Owners decide who is a member, whether guests may leave notes, which sites the tag works on, and which tools notes are sent to. They are responsible for those choices.
- You may only put the Notefix tag on sites you run, or are allowed to change.
- When guests or members leave notes on your site, you decide what happens to them. Where the law requires it, you tell the people who use your site that Notefix is on it, and what it collects. Our Privacy Policy describes it, and you are welcome to link to it.
- If your project holds personal data of people in the EU or Switzerland, we process it for you as your processor. We sign a data processing agreement on request.
4. Your content
Notes, drawings, screenshots, project names and everything else put into Notefix (content) belongs to you, or to whoever created it. We claim no ownership of it.
You give us permission to store, copy, show and send your content only as needed to run Notefix for you: to show notes to your project, to send them to the tools you connect, to back them up, and to keep Notefix safe. This permission ends when the content is deleted, apart from backups, which age out as our Privacy Policy says.
You are responsible for your content, and for having the right to put it in Notefix. Screenshots show whatever was on the screen: take care with other people's personal or confidential information.
5. Fair use
Do not use Notefix to:
- break the law, or anyone else's rights, including their privacy and intellectual property;
- store or send anything harmful, such as malware, or content that is abusive, hateful or exploits anyone;
- send spam, including invitations or notifications to people who did not ask for them;
- get into accounts, projects or systems that are not yours, or test how to break Notefix without our written permission (we welcome security reports at [email protected]);
- overload Notefix, get around its limits, or copy it to build a competing service.
6. Tools you connect
When you connect GitHub, Jira, Trello, Slack or another tool, Notefix sends notes there for you. Those services are run by other companies under their own terms, which you agree to with them. We are not responsible for them, for what happens to content once it reaches them, or for changes they make that stop a connection working. We tell you when a connection breaks, and do our best to keep them working.
7. The service
- Notefix is new and still changing. We may add, change or remove features. If we remove something you rely on, we tell you in good time where we can.
- We aim to keep Notefix available and your data safe, with nightly backups, but we do not guarantee that it is always available, free of errors, or that data can never be lost. Keep your own copies of what you cannot lose.
- We may need to stop Notefix for a short while for maintenance or to deal with a problem.
8. Price
Notefix Cloud is free while it is in early access. Before paid plans start, we tell every account owner by email, with the prices, at least 30 days in advance. Nothing is ever charged without you choosing a paid plan first, and you can always delete your projects and account instead.
9. Ending
- You can stop at any time by deleting your account, from your account page. That also deletes every project you are the only owner of, and the page says exactly what goes before anything does. To delete a single project, write to us.
- We may suspend or close an account or project that breaks these terms, puts others at risk, or that the law requires us to act on. Where it is reasonable, we warn you first and give you a chance to put it right, and time to take your content out.
- If we ever stop offering Notefix Cloud, we tell you at least 60 days in advance.
10. Warranty and liability
Notefix is provided as it is, and as it is available. As far as the law allows, we give no warranties beyond those in these terms, including that Notefix suits a particular purpose.
As far as the law allows, we are not liable for indirect or consequential loss, lost profit, or lost data, and our total liability to you for anything to do with Notefix is limited to the greater of what you paid us in the 12 months before the claim, and CHF 100.
Nothing in these terms limits our liability for harm we cause intentionally or through gross negligence, or any other liability that cannot be limited by law, including your rights as a consumer where they apply.
If you use Notefix for a business, you will cover our reasonable costs if someone claims against us because of your content, or your breach of these terms.
11. Changes to these terms
We may update these terms, for example when Notefix or the law changes. The date at the top changes with them. If a change matters to you, we email account owners at least 30 days before it applies. If you do not agree to it, you can delete your account before then. Using Notefix after that means you accept the new terms.
12. Law and disputes
These terms are governed by Swiss law, without its conflict of law rules and without the UN Convention on Contracts for the International Sale of Goods. The courts of Chur, Switzerland, have jurisdiction. If you are a consumer, you keep the protection of the mandatory law, and the courts, of the country where you live.
Please talk to us first: most problems are solved faster by email than by lawyers.
13. Everything else
- If a part of these terms turns out not to be valid, the rest still applies.
- If we do not enforce a right at once, we have not given it up.
- You may not transfer your rights under these terms without our agreement. We may transfer ours to a company that takes over Notefix, and will tell you if we do.
- These terms are written in English. If they are translated, the English version applies.
